SOFTWARE LICENSING AGREEMENT

This is a legal software licensing agreement (hereinafter referred to as this "AGREEMENT").
By purchasing, downloading, acquiring, installing, copying or otherwise using the PLUGIN (see Section 1.2 of this AGREEMENT), you, licensee (an individual, company, or any other entity) hereinafter referred to as "USER" agree to enter into the AGREEMENT with Alexander Popov (hereinafter referred to as "AUTHOR"). The terms and conditions listed herein represent the entire understanding relating to the use of the PLUGIN (see Section 1.2 of this AGREEMENT) and prevails over any prior or contemporaneous, conflicting or additional, communication. AUTHOR reserves the right to revise these terms and conditions at any time without notice by updating this AGREEMENT.

1. DEFINITIONS

1.1 WEBSITE under this AGREEMENT refers to alexpopov.me and associated subdomains.
1.2 PLUGIN under this AGREEMENT refers to: (1) the program code, plugin, addon developed by the AUTHOR; (2) updates or upgrades to the PLUGIN mentioned in (1)
1.3 END PRODUCT under this AGREEMENT refers to digital work containing PLUGIN or any part of the PLUGIN as a functional part of that work.

2. LICENSE

2.1 USER is granted a limited and non-exclusive, non-transferable, worldwide license to make use of the PLUGIN in the scope of this AGREEMENT.
2.2 USER is granted the right to sell and distribute the END PRODUCT.
2.3 All copyrights to the PLUGIN are exclusively owned by the AUTHOR.
2.4 All rights not expressly granted here are reserved by the AUTHOR.

3. LIMITATIONS

3.1 USER may not sell, rent, lease, lend, sublicense, or distribute the PLUGIN or any part of the PLUGIN.
3.2 USER may not include the PLUGIN in any tool, application, service, template or preset, program code, package, which can be used by any third party to create digital work.
3.3 USER may not modify, clone, decompile, disassemble, copy, reverse engineer, or create derivatives of the PLUGIN.
3.4 USER agrees not to use the PLUGIN to engage in the following activities: (1) copy or use any part of the PLUGIN beyond the scope of this AGREEMENT; (2) use the PLUGIN in a deceptive way or for deceptive purposes; (3) remove any copyright declarations or prompts contained in the PLUGIN.
3.5 Third parties may not use the END PRODUCT to create digital work, including modified versions of the END PRODUCT.

4. UPDATES

4.1 AUTHOR may choose to initiate an update to the PLUGIN. Any update provided by the AUTHOR is governed by this AGREEMENT unless such an update is accompanied by a separate software licensing agreement, which will prevail.
4.2 For the purchased PLUGIN USER can get updates, if available, by email that's linked to the purchase. If you've lost access to the email address, please contact the AUTHOR (see Section 9 of this AGREEMENT).

5. WARRANTY LIMITATIONS

THE PLUGIN IS PROVIDED TO THE USER “AS IS” AND “AS AVAILABLE” AND WITHOUT WARRANTIES, DUTIES OR CONDITIONS, STATUTORY OR OTHERWISE, OF ANY KIND. AUTHOR EXPRESSLY DISCLAIM ALL WARRANTIES, DUTIES AND CONDITIONS, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, OF ANY KIND, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF NON-INFRINGEMENT, TITLE, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. AUTHOR DO NOT WARRANT THAT THE PLUGIN OR ACCOMPANYING DOCUMENTATION, WILL MEET YOUR REQUIREMENTS OR PROVIDE SPECIFIC RESULTS, OR THAT THEY WILL BE UPDATED OR THAT THE OPERATION OF ALL OR ANY OF THEM WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED, OR THAT THE PLUGIN WILL NOT DAMAGE ANY OTHER SOFTWARE, HARDWARE OR DATA. FURTHERMORE, AUTHOR DO NOT WARRANT OR MAKE ANY REPRESENTATIONS OR CONDITIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE PLUGIN OR ACCOMPANYING DOCUMENTATION IN TERMS OF THEIR ACCURACY, RELIABILITY, COMPLETENESS OR OTHERWISE. AUTHOR SHALL HAVE NO RESPONSIBILITY FOR THE SECURITY OF, TIMELINESS, DELETION, MIS-DELIVERY, OR FAILURE TO STORE ANY OF USER COMMUNICATIONS OR PERSONALIZED SETTINGS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY AUTHOR SHALL CREATE A WARRANTY, DUTY OR CONDITION, OR IN ANY WAY CHANGE THIS EXCLUSION OF WARRANTY, DUTY, AND CONDITION. SHOULD THE PLUGIN OR THE ACCOMPANYING DOCUMENTATION PROVE DEFECTIVE, USER ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION.

6. LIMITATION OF LIABILITY

IN NO EVENT WILL AUTHOR BE LIABLE TO THE USER FOR ANY SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO COMPENSATION, REIMBURSEMENT OR DAMAGES IN CONNECTION WITH, ARISING OUT OF OR RELATING TO THIS AGREEMENT ON ACCOUNT OF THE USE OR LOSS OF USE OF THE PLUGIN OR ACCOMPANYING DOCUMENTATION, DOWNTIME OR USER TIME, LOSS OF PRESENT OR PROSPECTIVE PROFITS, LOSS OF DATA, INFORMATION OF ANY KIND, BUSINESS PROFITS, OR OTHER COMMERCIAL LOSS, OR FOR ANY OTHER REASON WHATSOEVER, WHETHER BASED ON THEORIES OF CONTRACT OR TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE OR STRICT LIABILITY), EVEN IF AUTHOR HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE PLUGIN AND ACCOMPANYING DOCUMENTATION ARE PROVIDED TO THE USER FOR USE AT THE USER'S OWN RISK. AUTHOR WILL NOT BE LIABLE FOR DAMAGES FOR BREACH OF ANY EXPRESS (EXCEPT TO THE EXTENT EXPRESSLY PROVIDED OTHERWISE BY THIS AGREEMENT) OR IMPLIED WARRANTY, DUTY OR CONDITION, UNDER BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY OR ANY OTHER LEGAL THEORY RELATED TO THE PLUGIN, ACCOMPANYING DOCUMENTATION, OR THIS AGREEMENT. AUTHOR FURTHER DISCLAIM ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS, AND CONDUCT OF ANY THIRD PARTIES IN CONNECTION WITH OR RELATED TO THE USE OF THE PLUGIN.

7. REFUND POLICY

All sales are final. No refunds will be given for the PLUGIN that is delivered via digital download. AUTHOR will try to rectify any issues that would probably cause the USER to consider asking for a refund.

8. LAW AND JURISDICTION

This AGREEMENT and disputes concerning this AGREEMENT, the relationship between USER and AUTHOR or any matters arising therefrom or associated therewith (whether contractual or otherwise) shall be subject to the exclusive jurisdiction of the courts of the Russian Federation.
